Horizon 2 Operations (H2Ops) Terms of Use

1. Who We Are

H2Ops ("Horizon 2 Operations," "we," "us," or "our") operates H2Ops Dispatch, an Ottawa-area coordination service that helps homeowners submit home-maintenance requests and get matched with available independent contractors. H2Ops coordinates and routes requests. Independent contractors perform the work and are paid directly by customers. H2Ops is not the contractor and does not guarantee contractor availability or workmanship.

2. Scope and Hierarchy

These Website Terms apply to all visitors of our website and related subdomains or online properties we operate (collectively, our "Sites"). Service-specific terms apply when you purchase paid Services under a signed proposal, order form, statement of work ("SOW"), service agreement, or Service Level Agreement ("SLA").

If there is any conflict between documents, the order of precedence is:

  • The signed proposal, order form, SOW, service agreement, or applicable SLA
  • These Terms of Use
  • The Privacy Policy, but only for privacy-specific collection, use, disclosure, and handling of personal information
  • Any other referenced policy

In the event of a conflict, the higher-order document controls to the extent of the conflict.

Service Levels: Any uptime, response time, support commitment, or remedy must be expressly stated in the applicable signed proposal, order form, SOW, service agreement, or SLA. If none is specified, Services are provided without uptime guarantees.

3. Eligibility and Accounts

You must be at least the age of legal majority in your jurisdiction, or otherwise have legal capacity to use the Services. If you use the Services on behalf of a business, contractor, organization, or other entity, you represent that you are authorized to bind that entity.

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.

4. Orders, Fees, and Taxes

Fees, if applicable, may include:

  • Dispatch participation or coordination fees described in applicable agreements
  • Usage-based communication or operational charges described in applicable agreements
  • Other fees expressly stated in a signed agreement or service-specific terms

For H2Ops Dispatch V1, customers pay participating contractors directly for the service work unless separate written terms expressly say otherwise. H2Ops does not collect or hold the full customer job payment in V1. H2Ops may charge, invoice, track, waive, or dispute contractor-side Dispatch, match, or coordination fees where applicable.

Invoices are due upon receipt unless otherwise specified in the SOW. Late payments may result in suspension of Services.

Fees are exclusive of applicable taxes. You are responsible for all taxes and government charges.

Refunds: Fees are non-refundable unless required by law or expressly stated in the SOW.

Change Requests: Work or support outside agreed scope will be billed at agreed rates or governed by a new SOW.

5. Acceptable Use

You agree not to:

  • Violate applicable laws or regulations
  • Infringe intellectual property or privacy rights
  • Attempt to penetrate, scan, or disrupt systems
  • Send spam or unlawful robocalls
  • Upload malicious code
  • Misuse scraping tools, rate limits, or quotas
  • Misrepresent identity
  • Resell or provide the Services to third parties without authorization

6. Third-Party Services

The Services may integrate third-party platforms for hosting, messaging, workflow management, support, analytics, payment, security, and other operational needs.

Their respective terms and privacy policies govern those components. H2Ops is not responsible for third-party acts or omissions.

7. Communications, Consent, and Review

No Emergency Services: H2Ops Dispatch does not support emergency calling, including 911, 112, or similar services.

Recording, Consent, and Communications Compliance: You must provide accurate contact information and may only submit phone numbers, email addresses, media, and request information that you are authorized to provide. H2Ops is responsible for the operational communications it sends through H2Ops Dispatch. Contractors are responsible for communications they send outside H2Ops Dispatch or through their own systems. Marketing communications, where offered, require the applicable consent and opt-out rights.

Human Review: H2Ops Dispatch uses human review before contractor offers are sent in V1. Any software-supported classification, routing, or message draft must be reviewed before it is used for risky or customer-facing action.

Regulatory Compliance: You are responsible for compliance with all applicable telemarketing, anti-spam, privacy, data protection, and consumer communications laws when using the Services.

8. Data Protection and Privacy

Our handling of personal information is governed by the H2Ops Privacy Policy.

A Data Processing Addendum (DPA) is available on request where required by applicable law or reasonably requested by a customer, contractor, or organization using H2Ops services to process personal data.

Security measures are reasonable and proportionate to risk.

9. Intellectual Property

Our Intellectual Property: We retain ownership of our Site, branding, templates, playbooks, and pre-existing tools. Upon full payment, you receive a non-exclusive, non-transferable license to use deliverables internally.

Your Intellectual Property: You retain rights to your content, data, and trademarks. You grant H2Ops a limited license to use such materials solely to provide the Services.

Open Source and Third-Party Components: Some deliverables may include components governed by separate licenses, which control their respective elements.

10. Feedback and Publicity

Feedback: If you provide suggestions or ideas, we may use them without restriction or compensation.

Publicity: With your prior written approval, or where expressly permitted in your signed proposal, order form, SOW, service agreement, or SLA, we may list your name and logo as a customer and describe general results.

11. Confidentiality

Each party agrees to protect the other's non-public information using at least reasonable care and to use it solely for purposes of performing under these Terms or an SOW.

Exceptions include information that is public, independently developed, or lawfully obtained from another source.

12. Warranties and Disclaimers

Authority: Each party warrants it has authority to enter into these Terms.

User-Provided Content: You warrant you have the legal rights to all content and data provided and that its use is lawful.

Disclaimer: The Site and Services are provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Indemnification

By You: You will defend and indemnify H2Ops against claims arising from your content, your use of the Services, or your breach of these Terms.

By Us: We will defend and indemnify you against claims that our pre-existing materials infringe third-party intellectual property rights, excluding claims arising from your materials or specifications.

Remedies may include modification, replacement, or refund of prepaid unused fees.

14. Limitation of Liability

Neither party is liable for lost profits, revenues, or indirect, incidental, special, consequential, or punitive damages.

Each party's total liability is limited to the greater of CAD $10,000 or the fees paid for the Services giving rise to the claim in the 12 months preceding the event.

These limitations apply to the fullest extent permitted by law.

15. Term, Suspension, Termination, and Data Return

These Terms begin when you first access the Site or order Services and continue until terminated.

We may suspend or terminate access for non-payment, security risk, or material breach.

Upon termination:

  • You may export or request a copy of your request-related data for 30 days
  • Standard exports may include customer, contractor, communication, and dispatch coordination records in formats such as CSV or Excel
  • Assets stored in third-party systems are subject to those platforms' export policies and fees
  • After 30 days, operational customer data may be deleted or de-identified unless retention is legally required

H2Ops may retain backup copies, logs, audit trails, and archived or de-identified records as reasonably required for security, billing, legal, compliance, dispute-resolution, or disaster-recovery purposes, subject to applicable law and confidentiality obligations.

Additional assistance beyond standard exports may incur professional service fees.

16. Export, Sanctions, and Anti-Corruption

You agree to comply with applicable export controls, sanctions laws, and anti-corruption legislation.

17. Governing Law and Venue

These Terms are governed by the laws of Ontario, Canada.

Courts located in Ottawa, Ontario have exclusive jurisdiction. Class actions are waived to the extent permitted by law.

18. Changes to These Terms

We may update these Terms periodically. Updated Terms become effective upon posting with a revised Last Updated date or any later effective date stated in the update.

Continued use of the Site or Services after the effective date of updated Terms constitutes acceptance of the updated Terms.

If you are operating under a signed proposal, order form, SOW, service agreement, or SLA that states otherwise, that signed agreement continues to control to the extent of any inconsistency.

For material changes that reduce your rights or increase obligations, we will provide at least 30 days' advance notice where practicable.

Routine communications may be sent via email or product interfaces.

Notices by mail are deemed received five business days after mailing. Notices by email are deemed received 24 hours after sending, unless a delivery failure notification is received.

20. General Provisions

Assignment: You may not assign these Terms without consent. We may assign in connection with reorganization or sale.

Subcontractors: We may use subcontractors and remain responsible for obligations.

Force Majeure: Neither party is liable for delays caused by events beyond reasonable control.

Severability: If any provision is unenforceable, the remainder remains in effect.

No Waiver: Failure to enforce any right is not a waiver.

Entire Agreement: These Terms, together with any applicable signed proposal, order form, statement of work, service agreement, SLA, and referenced policies, constitute the entire agreement between the parties and supersede prior discussions relating to the same subject matter.

21. Version History

Upon request, we will provide a record of changes to these Terms. The current version and Last Updated date appear at the top of this document.

22. H2Ops Dispatch

H2Ops Dispatch coordinates non-emergency service requests between customers and participating independent contractors.

H2Ops is not the contractor. Participating contractors are independent and are solely responsible for their own qualifications, licensing, insurance, tools, pricing, availability, workmanship, rework, refunds, damage resolution, job completion, and legal compliance. H2Ops does not provide emergency services and does not guarantee contractor availability, workmanship, refunds, rework, damage resolution, or outcomes.

Nothing in H2Ops Dispatch creates an employment, agency, partnership, or joint venture relationship between H2Ops and any participating contractor.

H2Ops may provide support, coordination, escalation, or dispute intake related to a Dispatch request. This does not make H2Ops the contractor, employer, insurer, guarantor, payment processor for the full job amount, or party responsible for the contractor's work, pricing, licensing, safety, rework, refunds, damages, or completion.

Dispatch availability depends on service area, contractor availability, request fit, and operational capacity.

Customer marketing SMS is optional and only sent if the customer separately opts in. Contractor SMS is operational only. H2Ops Dispatch does not send contractor marketing SMS.

23. SMS Messaging Program

Program name: H2Ops Dispatch.

Product description: H2Ops Dispatch is an SMS-based, non-emergency coordination service that helps customers submit service requests and helps participating independent contractors receive and respond to service-request opportunities.

Customer operational SMS: May include intake questions, request status, booking coordination, contractor updates, rematch updates, escalation notices, and support messages.

Customer marketing SMS: Optional and only sent if the customer separately opts in.

Contractor SMS: Operational only and may include service-request opportunities, accept/decline prompts, booking coordination, customer-request status updates, rematch updates, escalation notices, and support messages. H2Ops Dispatch does not send contractor marketing SMS.

Message frequency: Message frequency may vary.

Message and data rates: Standard message and data rates may apply.

Opt-out: Reply STOP to opt out.

Carrier disclaimer: Carriers are not liable for delayed or undelivered messages.

Consent: Consent is required to use the SMS-based Dispatch request or participation flow, but is not a condition of purchasing any contractor service or purchasing anything from H2Ops.
